The Law Firm for Small Businesses, P.L.L.C. – your West Palm Beach Contract Law Attorneys
A contract is a legally-enforceable promise or set of promises made between two or more people, one party(ies) promising to perform certain acts, the other party (ies) promising to pay for or give the other “consideration” for the performance of the act. Each party to a contract should have the opportunity to review and negotiate the specific terms of the contract before it is executed. This is where the expertise of a contract lawyer – or corporate lawyer in West Palm Beach – proves immensely valuable.
In order to avoid business disputes and lengthy litigation, it is imperative that the terms of a contract be put in a writing that clearly and expressly states exactly what the parties intend to do, the obligations of all parties, any terms of compensation, and what happens in the event of a dispute. A contract must contain the proper language to protect the business’ legal rights and the fine print language, if any, must be tailored to benefit the business. When a party fails to perform its obligations in accordance with the terms of a contract, the failing party may be in “breach of contract”, which may cause the non-breaching party to suffer losses. The party who did not fail to perform may then seek to recover damages from the party who is in breach.
Damages come in the form of compensatory, punitive, nominal or liquidated damages. It is vitally important to the success of a business that all contracts get thoroughly reviewed by competent legal counsel. Failure to do so can leave the business vulnerable to loss or litigation. As experienced business attorneys, we can explain the terms of your contract and help you avoid liabilities that may be impossible to escape. We can evaluate your contract and suggest ways to avoid the potential problems and liabilities that may arise in the future.
