All corporate entities conducting business in the State of Florida must register with the Florida Department of State Division of Corporations in order to legally conduct business in the State. All entities must file with the Florida Department of State Division of Corporations notice of the registered office and the Registered Agent. If an entity fails to designate a Registered Agent located in the State of Florida, the entity may be subject to civil sanctions.

What is a “Registered Agent?”

A registered agent is the party designated by an entity to receive “Service of Process” on behalf of the corporation and to provide a physical address at which the registered agent is available to receive it. Service of Process is the delivery of a writ, subpoena, summons, legal notice, tax notice, official government communication, or other legal paper to the person required to respond to it. A registered agent can also receive official documentation from the Secretary of State on behalf of the entity.
